The Senior Corporate Counsel will serve as in-house counsel, as part of a small Legal team, providing a broad range of business advice and legal counsel to all business units and corporate functions.
Areas of law include contracts, commercial, corporate, mergers and acquisitions, securities, real estate, distribution, motor vehicle dealership, environmental and intellectual property.
Responsible for providing guidance to all levels of employees and leadership in the organization.
Essential Duties and Responsibilities: This list of duties and responsibilities is not all-inclusive and may be expanded to include other duties and responsibilities, as management may deem necessary from time to time.
Provides legal advice and support on a wide range of activities Drafting and negotiating simple and complex contracts, including direct materials supply chain agreements, indirect procurement agreements, dealer agreements, direct sales agreements, government sales contracts, financing agreements, marketing contracts, and information technology agreements Advising sales, marketing, supply chain, materials management, IT, finance and other functions on various commercial and legal matters Manages the company’s legal needs for real estate transactions and matters Supports the company’s M&A and other strategic transaction activity, including advising, negotiating, drafting and due diligence, Supports the protection and enforcement of intellectual property and other legal rights in respect of Company assets, including development of related documentation and filings Acts as a legal resource to various business units and other internal departments as needed Supports the company’s corporate governance and securities law compliance Manages trademark administration and patent support Guides managers on regulatory and compliance matters Provides relevant training to employees in the business Advises the company on environmental matters Provides supervision to outside lawyers hired to assist the corporation with their specialized legal services Leads legal department projects, including new technology platforms and implementation of contract lifecycle management system Performs legal research as needed Required Knowledge, Skills, and Abilities: Strong legal; and business acumen and critical thinking capabilities Ability to partner with the business to deliver results Excellent judgement Highest degree of ethics and integrity Track record in interacting confidently and credibly with business leaders and outside parties Excellent communication and influence skills Ability to flex and pivot in a changing environment Detail-oriented, organized, responsive to client needs, work under deadlines Solid computer skills Education and/or Experience: Juris Doctorate from a law school accredited by the American Bar Association 8+ years of experience as an attorney, prefer at least 2 years of experience in corporate setting Experience managing external legal counsel is a plus Strong legal experience in commercial and corporate matters required Relevant computer software experience such as MS Word, Adobe Acrobat, Excel, Power Point and legal management systems Work Environment/Conditions: Office work environment.
